Corporate Trust

Within the corporate trust community, few names are more respected than Shipman & Goodwin. For over 20 years, our Corporate Trust group has worked closely with the corporate trust departments of major national banks, representing them as corporate trustees, owner trustees, indenture trustees, escrow agents and collateral or security agents in a wide variety of corporate debt, leveraged lease, bond, and secured financing transactions. We routinely work with major equity and debt participants across the country, as well as law firms in New York, Chicago, Los Angeles, and many other cities, in bringing these complex transactions to a successful close, and representing our clients as fiduciaries in circumstances where defaults later occur.

Our attorneys also regularly advise corporate trust clients concerning the ongoing administration of accounts, regulatory compliance and risk management, and assist with the many transitional issues that arise in the context of corporate trust acquisitions. Part of our practice is also devoted to keeping our clients abreast of industry and legal developments that may impact their existing and future business.

The default, workout and bankruptcy team of the Corporate Trust group has extensive experience representing trustees in connection with various secured and unsecured debt transactions in default situations. From covenant defaults to high profile Chapter 11 cases involving a wide array of industries, including the retail, health care, telecommunications, airline and energy industries, we are adept at partnering with our corporate trust clients to ensure that they fulfill their fiduciary obligations and best serve, and maximize value for, securities holding investors in the most professional and efficient manner. Our attorneys have a great deal of experience representing our clients as members of creditors' committees, negotiating plan provisions, ensuring proper application and distribution of funds, facilitating out of court restructurings, tracking compliance with governing documents and foreclosing on and liquidating collateral, all with the primary goals of helping our clients perform at the highest level of service and working toward the best possible financial outcome.
