Our private equity group represents venture capital funds, mezzanine funds, SBICs, hedge funds, corporate and strategic investors, institutional investors, and angel investors. We also represent high technology and emerging growth companies in connection with their venture capital and other private equity offerings, and middle market companies undergoing leveraged buy-outs and recapitalizations.

Attorneys in our private equity, SBIC and mezzanine finance practice assist equity and debt investors of all types in connection with the formation of investment vehicles and subsequent investment activities.

Our representation of investor clients includes:

• Formation and administration of venture capital and mezzanine funds and SBICs, including fund structuring, assistance with the preparation of offering documents, securities law compliance, ERISA and other regulatory compliance and fund closing
• Representation of venture capital funds, insurance companies, special purpose investment vehicles, equity funds and other investors in connection with equity investments of all kinds in early, mid and late stage companies in all industry sectors, including convertible preferred stock, common stock and bridge financings
• Representation of strategic investors and the business development arms of institutional investors in connection with strategic equity and debt investments
• Representation of insurance companies, mezzanine funds and other investors in connection with debt and equity investments, including acquisition financings, leveraged buy-outs and recapitalizations and junior capital financings
• Representation of SBICs in connection with equity and debt/equity investments in early, mid and late stage companies, including LMI investments
• Representation of debt and equity investors in connection with workouts of troubled investments and investment recovery
• Formation of special purpose investment LLCs and partnerships for targeted investment opportunities
• Representation of limited partners and members in the review and negotiation of investments in private investment funds
