COMMERCIAL FINANCE ATTORNEY - DC, STAMFORD, HARTFORD OR NEW HAVEN OFFICES

We are seeking an attorney to join our commercial finance practice in our DC, Stamford, Hartford or New Haven offices. Candidates should have a minimum of eight years of experience in a law firm setting, including significant experience with lending transactions, loan restructurings, and the purchase and sale of existing loans. Experience with the structuring, negotiation and closing of the following transactions is preferred: senior credit facilities; revolving loans; asset-based loans; financings secured by real estate; acquisition financing; project financing; mezzanine financing; intercreditor and subordination agreements; and modifications, workouts and forbearances. FINANCE ASSOCIATE - STAMFORD OFFICE

We are seeking an associate to join our finance practice in our Stamford office, preferably including New York lending experience. Candidates must have three to four years of finance experience in a law firm setting, including significant experience with bank side lending including drafting loan documents and New York lien law experience. Experience extending to real estate based transactions, structured finance/capital markets and general corporate matters is considered a plus but not required. Strong loan document and real estate contract/lease drafting and negotiation skills are required, and candidates must be able to work independently as well as a member of a team on complex deals. The ideal candidate would be based in our Stamford office, but willing to work out of our New York and Hartford offices as needs require. We will consider candidates who prefer to work from the firm’s New York office on a limited regular schedule so long as the candidate would also maintain a regular primary schedule in the Stamford. TAX ASSOCIATE - HARTFORD OR STAMFORD OFFICE

We are seeking a tax attorney with four to eight years of experience in federal and state income tax law to join our Tax & Employee Benefits practice in our Hartford or Stamford office. Experience with partnership tax, taxation of mergers and acquisitions and state tax controversy work is preferred. Prior mid to large law firm experience, accounting background, Tax LL.M. and/or clerkship with the U.S. Tax Court are desirable. REAL ESTATE ASSOCIATE - STAMFORD OFFICE

We are seeking an associate to join our real estate practice in Stamford and New York. Candidates should have four to six years of experience in commercial real estate with a focus on leasing and conveyancing. Experience with structured finance/capital markets and general corporate matters is preferred. Strong drafting and negotiation skills are required. Candidates must be self-starters, have the desire to grow in responsibility and ultimately manage transactions, have experience working as a member of a team on complex deals and be willing to work out of offices in Stamford, New York and occasionally Hartford as needs dictate. We will consider candidates who prefer to work from the firm’s New York office on a limited regular schedule for a portion of the time so long as candidate would also maintain a regular primary schedule in one of the firm’s Connecticut offices. FINANCE / CORPORATE TRUST ATTORNEY - DC, HARTFORD OR STAMFORD OFFICE

We are seeking an attorney with a minimum of five years of experience in transactional work to join our well-established, nationally renowned Corporate Trust practice in either our DC, Hartford or Stamford offices. Our Corporate Trust group works closely with the capital markets and loan agency departments of major national banks and other financial institutions, representing them as trustees, administrative agents, escrow agents and collateral or security agents in a wide variety of corporate debt, project finance, municipal bond, secured and structured financing transactions and defaults. Applicants with finance or securities/capital markets experience would be ideal. Successful applicants must have the ability to work with complex transactional documents and prioritize work in a deadline-intensive environment. We value collaboration and collegiality among our lawyers and are looking for someone proactive with strong interpersonal skills to join our team.
