Representation of Structured Credit Fund

"Spin-off" Fund from Financial Institution

Representation of the sponsor in connection with the formation of a 'mini-master' fund structure comprised of an offshore Cayman feeder fund and onshore U.S. feeder fund, as well as an interposed intermediate Cayman limited partnership and Cayman master fund.  The master fund invests principally in stressed and distressed structured credit securities, such as ABS, RMBS, CMBS and CDO securities.  In addition, representation of the sponsor and its principals in the negotiation and drafting of the general partner limited liability company agreement.

General

Secured a $102 Million Construction Loan

Represented real estate developer in securing a $102 million construction loan for a multi-building, mixed-use office, retail and residential project in Connecticut. The transaction also included $56 million in CPACE financing, which is the largest in Connecticut to date.

$64MM Financing of Skilled Nursing Facility in New York

Successfully closed a $64,000,000 financing including term loan and line of credit on behalf of our banking client on a skilled nursing facility located in New York. This transaction required our team to develop a complicated loan structure involving fee and leasehold collateral due to New York Department of Health regulations. In addition to drafting a large number of complex loan documents, we assisted with due diligence, handled all associated liens, and reviewed all of the approvals from the New York Department of Health.

Mezzanine Financing

Representation of two related Connecticut-based funds in connection with the purchase of senior subordinated promissory notes in the aggregate principal amount of $10,000,000.  The senior subordinated promissory notes were subordinate in right of payment and security to a syndicated senior facility led by a U.S. financial institution in the aggregate amount of up to $65,000,000.  The notes were secured by: (i) a second lien on, and security interest in, all of the assets of the borrower; and (ii) leasehold mortgages against various properties of the borrower.

Represented leading mezzanine investor in $5.5 million senior subordinated debt investment and $2.5 million preferred equity investment in defense and railroad manufacturing company
