Represented Oregon DOJ in Proposed Combination of Oregon Health & Sciences University and Legacy Health
Shipman & Goodwin was engaged by the State of Oregon Department of Justice (“DOJ”) to assist it in connection with its legal review of a proposed healthcare transaction wherein Oregon Health & Sciences University and Legacy Health would combine and create an integrated health system. In September of 2024, OHSU and Legacy filed their notice with the Oregon Health Care Authority declaring their intent to begin the Health Care Market Oversight regulatory review process. On May 5, 2025, after submission of extensive information regarding the proposed transaction by the two health systems, OHSU and Legacy decided to terminate plans to integrate both organizations. Shipman’s role in assisting the DOJ included analysis of whether the proposed transaction satisfied the State’s statutory requirements relating to such healthcare transactions and complied with the requirements of Oregon’s Health Care Market Oversight regulatory review process.
