Kathleen M. LaManna

Katie LaManna has extensive experience protecting and enforcing the rights of her creditor and corporate trust clients in defaults, commercial litigation, workouts, restructuring and bankruptcy matters. She is a former chair of both the Corporate Trust and the Bankruptcy and Creditors' Rights practice groups at Shipman. She is primarily focused on bond defaults and other corporate commercial defaults, restructurings and structured liquidations, and she has extensive experience in bankruptcy courts across the country, as well as in state, federal and appellate courts.

Katie has been actively involved on behalf of her clients in Chapter 11 bankruptcy cases of all sizes, both reorganizations and liquidations, including, among others, cases in Delaware, New York, Texas, New Jersey, Connecticut, Florida, Massachusetts, and Louisiana as well as international restructuring proceedings in Canada, the Cayman Islands and other countries. Katie has represented creditor-side secured and unsecured clients in maximizing their recoveries in defaults and restructurings related to an array of industries, including cryptocurrency, genetic testing, energy, major telecommunications, bank holding company, ecommerce, retail, healthcare, entertainment and airline bankruptcies. She has represented her clients as members of numerous creditors' committees and has been actively involved in all stages of the Chapter 11 process, including the successful enforcement of claims and negotiation of plans of reorganization and liquidation through confirmation, as well as Debtor-in-Possession financing, negotiation of cash collateral orders, exit financing and asset sales pursuant to Section 363 of the Bankruptcy Code.  Her bankruptcy experience also includes the representation of clients in the defense of preference and other avoidance actions, as well as the assumption and rejection of executory contracts and commercial leases.

Katie also has extensive experience representing clients in more general state and federal civil litigation matters relating to contract disputes, business litigation and commercial defaults.

In re Goodman Networks (Bankr. N.D. Tex. filed 2022)

Represented Collateral Agent for over $18 million principal of Secured Notes in 2022 bankruptcy proceedings of a wireless network corporation in Northern District of Texas involving involuntary bankruptcy filing, adversary proceedings and enforcement of remedies, including in connection with Deposit Account Agreements.

In re Core Scientific (Bankr. S.D. Tex. filed 2022) 

Represented Note Agent for an aggregate of over $600 million of Secured Convertible Notes in 2022 Chapter 11 bankruptcy of a cryptocurrency corporation in Southern District of Texas resulting in confirmed plan of bankruptcy reorganization and exit in 2024.

In re Nogin, Inc. (Bankr. D. Del. filed 2023) 

Represented Indenture Trustee and Collateral Agent for over $65 million of Convertible Senior Convertible Notes in 2023 Chapter 11 bankruptcy of an ecommerce platform entity in District of Delaware.

General

Aviation Component Manufacturer Section 363 Sale

A team of business and bankruptcy lawyers successfully completed and closed a Section 363 Sale in a Chapter 11 case recently filed in the United States Bankruptcy Court for the District of Connecticut for our client, AGC Incorporated, an aviation component manufacturer. The Section 363 Sale, which was approved by the Bankruptcy Court in just 34 days, included the preparation and filing of the Chapter 11 case; a Motion to Approve Bidding Procedures; a Motion to Sell all of the assets of the Debtors’ companies to a Stalking Horse Bidder; the negotiating, preparation and obtaining of Bankruptcy Court approval of the Asset Purchase Agreement and related documents with the Stalking Horse Bidder; the negotiating and closing of the sale to a third party who bid more for all of the Debtors’ assets at an Auction; and extensive negotiations with secured and unsecured creditors regarding the distribution of the proceeds from the sale of the assets.
