Kimberly Cohen is co-chair of Shipman's Corporate Trust Practice Group, where she handles complex financial transactions as well as default and workout matters. Kim practices in all areas of corporate trust, representing indenture trustees, collateral agents, administrative agents, and escrow agents in a wide variety of matters.  She has extensive experience in default and distressed transactions, representing clients in connection with restructuring, bankruptcy and insolvency-related matters, advising secured and unsecured creditors in connection with both in and out of court restructurings and liquidations.     

Kim also represents her clients in connection with new transactions, advising them from deal inception through ongoing administration.  She has experience representing clients in wide-ranging industries, including financial services, aircraft financing, energy companies, vessel operations, and others

Kim centers her practice in collaboration, which has fostered long-standing relationships with her clients and partner firms.

LIBOR Cessation

Advise major national bank in connection with the anticipated cessation of publication of the London Interbank Offered Rate (“LIBOR”), including assessing impact on bank’s large portfolio of existing transactions, providing guidance for new transactions, evaluating proposed alternative benchmark rates, and assisting in production of customer notices.

Represented National Bank for $500 Million High-Yield Bonds for Company Operating in 80 Countries and With Assets in North America and 18 Foreign Jurisdictions

Represented major national bank in connection with its role as trustee and collateral agent for $500 million of high yield bonds issued by a leading multinational wellbore and productions solutions company operating in more than 80 countries, including taking a security interest in all assets located in the United States, Canada and Mexico and 18 other foreign jurisdictions across Europe, Asia and South America.

Representation of Trustee for Corporate Debt in Restructuring Proceedings under Canada Business Corporations Act in Ontario Superior Court

Represented national bank as trustee in restructuring proceedings filed by Bellatrix Exploration Ltd. resulting in the restructuring of over $200 million of senior secured notes and unsecured debentures, including the issuance of new notes and implementation of a recapitalization transaction through a Court approved Plan of Arrangement.

Favorable Trial Court Judgment and Ruling on Appeal Relating to Letter of Credit Collateral

Represented national bank as trustee in Texas bankruptcy proceeding and subsequent litigation involving enforcement of $45 million of letters of credit, which had served as collateral on bond debt, brought in the Supreme Court of New York. Obtained trial court judgment in favor of trustee and debt holders, and affirmation on appeal following briefing and oral argument at New York State Appellate Division of the Supreme Court, First Judicial Department.
