Shipman has a multidisciplinary team of attorneys who represent life science, medical device and healthcare technology companies, including biotechnology companies, medical device manufacturers, pharmaceutical companies, healthcare providers, tissue banks, software companies and venture capital and private equity funds. Because our attorneys have backgrounds in business, finance, science and healthcare, we understand the business, scientific, and regulatory issues facing our clients.

Outside General Counsel

Acting as outside general counsel, we regularly assist clients with the full range of their business needs, helping them organize, structure their ownership and governance, and obtain capital. 

Corporate Compliance

We assist life science companies in implementing comprehensive and effective compliance programs to guide companies and employees in conducting business ethically and in compliance with legal and regulatory requirements and industry standards. We regularly review, develop and implement programs that prevent and detect noncompliance. We are well versed in laws and regulations relating to fraud and abuse, antikickback, self-referral, false claims, civil monetary penalties, payments to physicians, conflicts of interest and HIPAA and industry standards such as PhRMA and AdvaMed. We often respond to issues of noncompliance by conducting internal investigations and working with regulators.

Mergers and Acquisitions

Our M&A lawyers assist life science clients with a wide range of strategic alliances, joint ventures, mergers, acquisitions and divestitures.  Our clients pursue these transactions to consolidate industries, combine the strength of two companies, divest non-core businesses, achieve liquidity and transition ownership.

Tax

We assist clients with international, federal, state and local business tax and tax exemption matters. We also provide tax planning for structuring venture capital transactions (representing either the venture capital fund or the emerging growth company) and equity compensation.

Licensing and Intellectual Property

Our lawyers design and implement strategies to maximize, retain and safeguard the value of the goodwill and innovation, trade secrets and proprietary information represented in our life science clients’ intellectual property portfolios. We work with clients to establish protocols for the protection of these valuable assets and when the need arises, we are zealous advocates in the courtroom. We employ a proactive, efficient and cost-effective strategy for the resolution of these disputes.

We routinely prosecute restrictive covenant and misappropriation of trade secret matters, including injunction hearings with expedited discovery, and seizure of goods cases in federal and state courts throughout the country.  We counsel clients throughout the intellectual property and technology life cycle. We register, maintain and protect our clients’ trademarks, copyrights, domain names and trade secrets. We also advise clients with regard to:

Product and Service Development and Commercialization

Our life science clients are always working to develop, protect, market and commercialize products and services. Our assistance to clients in these areas varies based on industry, but often includes:

International Trade Compliance and Enforcement

We help clients navigate U.S. export controls and economic sanctions by advising on export licensing issues, including the classification of products and technologies and the determination of licensing requirements for specific transactions.  

We work with clients in developing, implementing and auditing export and import compliance programs and taking corrective actions, including the submission of voluntary self-disclosures to U.S. government agencies, when necessary.  In the event of a criminal investigation, we vigorously represent clients and ensure that their interests are effectively protected.  We also conduct internal investigations into import, export, sanctions matters.

Human Resources and Employee Relations

Our goal is to help clients manage the legal risks associated with hiring, supervising and terminating employees, while following best management practices and complying with governmental requirements applicable to all aspects of the employment relationship. We emphasize preventive counseling, and offer training on subjects ranging from sexual harassment prevention to union activity. Our employment lawyers have broad and deep experience in:

Immigration

Our full-service immigration practice works seamlessly with clients in the life science industry to obtain timely U.S. work authorization for foreign workers who are critical to the implementation of business plans and business realization goals.   We assist clients with the following immigration services:

  • preparing and filing nonimmigrant visa petitions (such as H-1B, O-1, L-1A, L-1B and J-1 visas) to permit foreign workers to work temporarily in the U.S.
  • obtaining employment-based immigrant visas and national interest waivers (such as EB-1 visa preferences for multinational managers or executives, outstanding professors or researchers, and foreign nationals who have extraordinary ability and EB-2 visa preferences for members of a profession holding an advanced degree and foreign nationals who have exceptional ability) to enable foreign workers to work in the U.S. indefinitely, commonly known as a “green card”
  • obtaining nonimmigrant visas and green cards for investors in U.S. companies
  • obtaining U.S. citizenship for U.S. permanent residents and their families;
  • advice on “best practices” to complete I-9 Employment Verification forms and to respond to an Immigration and Customs Enforcement (ICE) audit of such forms

Drugs and medical devices

In re DePuy Orthopaedics, Inc. Pinnacle Hip Implant Prods. Liab. Litig. (MDL 2244)

As part of DePuy Orthopaedics’ MDL trial team, Shipman & Goodwin’s attorneys have handled C-suite level witness preparation and expert witness discovery and preparation on a variety of medical and regulatory issues relating to DePuy’s hip prostheses.

Ness vs. DePuy Orthopaedics, Inc. et al., Baltimore, Maryland (Md. Super. Ct. July 6, 2015)

Shipman served as Lead Counsel of a national team that represented Johnson & Johnson in a major victory for DePuy Orthopaedics in another Pinnacle hip implant action. Following a Daubert hearing, the Court granted the motion seeking to preclude plaintiff’s expert testimony and then entered summary judgment in favor of all defendants.

Mergers, acquisitions & joint ventures

Acquisition of Life Sciences Research Company

SARORAS Private Capital
Represented an affiliate of SARORAS Private Capital, a private equity fund that invests in growing companies in the technology-enabled services industry, in connection with its multi-million acquisition of InCrowd, Inc., a leading market research company in the life sciences industry.  Our representation included both the creation of a new platform for the investor syndicate, as well as a merger transaction to acquire the target company.

General

Obtained a Grant of Summary Judgment for Non-Profit Mental Health Services Provider

Obtained a grant of summary judgment on all claims, which was later affirmed on appeal to the United States Court of Appeals for the Second Circuit, on behalf of a non-profit mental health services provider against an employee who brought claims of disability discrimination.

Recent Large Bankruptcy Cases

Represented trade creditors and lessors in some of the largest bankruptcy cases in the last few years, including In re Rite Aid Corp. (Bankr. D.N.J. filed 2023); Endo International plc (Bankr. S.D.N.Y. filed 2022); Bed Bath & Beyond, Inc. (Bankr. D.N.J. filed 2023); and In re Mallinckrodt plc (Banrk. D. Del. filed 2020).

 

Biotech Company Pioneers Technology For New Class of Drugs

Dormer Stephen, Co-Chair of our Business and Finance practice area, structured and negotiated this deal for Arvinas. Arvinas is built on the research of Craig Crews, PhD, Lewis B. Cullman Professor of Molecular, Cellular and Developmental Biology and professor of Chemistry and Pharmacology at Yale University. The new drugs being developed by Arvinas would induce a cell’s own protein-degradation capabilities to bind to a particular protein and “label” it for degradation, thus removing a protein from the system entirely. This contrasts to a more traditional drug development approach that inhibits proteins. However, only 25 percent of the body’s 20,000 proteins can be inhibited. Proteins that cannot be inhibited can potentially be degraded using Arvinas’ approach, radically expanding the number of disease-causing proteins that can become the targets of new drugs.

Acquisition and Financing of Musculoskeletal Tissue Business

Represented HighCape Partners in connection with the formation and financing of Aziyo Biologics, Inc., a regenerative medicine company, and the acquisition of Tissue Banks International’s musculoskeletal tissue division. Aziyo develops and delivers customized tissue products for use in orthopedic, spinal, sports medicine and dermal applications.
