Jonathan Orell is a partner in the firm’s Finance and Real Estate groups, specializing in sophisticated and complex finance and real estate transactions. A trusted and strategic advisor, Jon offers extensive experience in the leasing, acquisition, sale, and financing of commercial properties across all asset classes.

His practice focuses on serving a diverse range of real estate clients—including owner-operators, developers, and investors—in connection with land acquisition, ground-up development, and financing matters for commercial properties such as restaurants, shopping centers, office buildings, and multi-family developments. Jon regularly counsels both lenders and borrowers in complex commercial lending transactions, including syndicated and participated loans, mezzanine and acquisition financing, and credit enhancement.

Jon has significant experience representing developers in connection with low-income housing tax credit (LIHTC) single and multi-phase residential and mixed-use projects, guiding clients through the structuring, financing, and compliance aspects of affordable housing developments. In addition, Jon provides comprehensive client services on all aspects of common interest communities in both the State of Connecticut and the State of New York, including formation, governance, financing, acquisitions and sales and conversions to and from common interest communities.

General

Affordable Senior Housing Construction Financing

Represented a regional bank in connection with the construction loan financing for a multifamily affordable senior housing development in Connecticut. The project involved approximately 140 units owned by a local housing authority. The transaction included a forward-committed permanent Freddie Mac Tax-Exempt Loan (TEL) and a Low-Income Housing Tax Credit (LIHTC) equity investment arranged by the lender. The firm has handled similar transactions utilizing Fannie Mae MBS as Tax-Exempt Bond Collateral (M-TEB) structures with both tax-exempt and taxable components.

Financing of Affordable Multifamily Housing Acquisitions and Rehabilitations

Represented a regional bank in connection with multiple acquisition and construction loans for affordable multifamily housing developments in Connecticut. The projects involved the acquisition and in-place rehabilitation of approximately 116 fully affordable housing units across two urban locations. The transactions included forward-committed permanent financing through Fannie Mae Mortgage-Backed Securities as Tax-Exempt Bond Collateral (M-TEB), Low-Income Housing Tax Credit (LIHTC) equity investments by the lender, and bond financing through the Connecticut Housing Finance Authority (CHFA), resulting in a complex, multi-layered financing structure.
